State Law:

Generally speaking, the state law you choose to apply should be the state where your business is primarily based and/or conducted.

Noncompetition Covenant:

The noncompetition covenant provides that once your Agreement is terminated, the consultant will not be able to engage in either the same or a similar type of business as your company. You will choose the length of time this clause will be in effect, and it will cover 100 miles in any direction from your location. Basically this means that the consultant agrees to refrain from engaging in another business that is similar to yours.

Nondisclosure of Confidential Information:

This provision will require that the consultant keep your company information strictly confidential. It provides a wide encompassing list of items that should remain the sole property of your company, and will allow you to take legal action against the consultant should they disclose any of this information. The property covered in our nondisclosure clause is listed below:

A. Non-public financial information, accounting information, plans of operations, possible mergers, or acquisitions prior to the public announcement;

B. Customer lists, call lists, and other confidential customer data;

C. Memoranda, notes, records concerning the technical processes conducted by Company;

D. Sketches, plans, drawings, and other confidential research and development data;

E. Manufacturing processes, chemical formula, and the composition of Company's products; or

F. Any digital or intellectual property owned by Company

Effective Date:

The effective date of your Consulting Agreement will be the date on which your Consulting Agreement will take effect. Therefore you will enter the date that you expect your agreement to start or begin.

Consultant:

A consultant is not an employee, but rather an "independent contractor." This means that the individual is generally hired to complete a specific project or assignment and they will not be an employee of the company with whom they have contracted. There is no precise definition of what a "consultant" is, but generally some of the characteristics of a consultant are that they will operate from their own offices and use their own money for supplies and other business necessities. They likely cannot make use of employer-provided insurance plans, and they will pay their own taxes and social security.

Payment Options:

The Consulting Agreement provides either that the Consultant will receive an hourly wage for their services, or that they will receive a monthly wage. This means that if the Consultant's fees will be calculated by the hour you will select the hourly payment option. However, if the Consultant's fees will be based on a monthly sum, you will select the monthly payment option.

Services Performed:

Business Organization:

For the Consulting Agreement we need to know how your business is organized. All this means is that you must input whether your business is organized as a corporation, a limited liability company, a sole proprietorship, etc.

Summary Explanation of Company Business :

All you need to do is summarize the type of business your company engages in. Simply enter a brief description of what it is that your business does. For example:
